Dear User:

This English translation of My Sports Profile is provided solely for the convenience of members/users. The translation is not binding on My Sports Profile. The German text is the sole authoritative version and prevails in case of any conflict.

Terms of Use

Introduction

My Sports Profile is an interactive online sports network (social network). My Sports Profile is being operated by My Sports Profile UG (limited liability), "a German registered company".

My Sports Profile's main focus is to connect athletes of all levels with General Managers (GM's)/club teams, coaches, agents, fans and scouts (professional and/or amateur). We also want to offer sports fans a platform where they can communicate. The registered users can communicate within the platform with other users by electronic ways, either by personal messages (Email) or in a sports specific forum, where users can have conversations about certain topics. We also offer the ability to inform other users about certain Events. In order to realize our objective, we developed a simple, quick and efficient online platform. My Sports Profile offers its registered users the ability to create a profile in an interactive database that can include sport specific and personal information. Besides the sport specific and personal information, athletes can also expose sports specific "statistics" and upload pictures and game/highlight videos.

Created profiles can be viewed and analysed on a daily basis and free of charge by the public (coaches, agents, scouts, General Managers/club teams, and fans of all levels). Users can decide which groups are allowed to view their profile. The offer is therefore to people who use the website of My Sports Profile exclusively for private, non-commercial purposes and the promotion of sports. Associations of persons and legal persons (for example, sports clubs, etc.) may only use the website for non-commercial use and only if their purpose is the promotion of sport.

1. Scope

1.1 The relationship between My Sports Profile and the member (hereinafter referred to as "users") are subject to the following general terms and conditions (hereinafter referred to as "Terms "). My Sports Profile provides all the services and content (in general, benefits) based on these terms and conditions. Different user conditions, which are in conflict with these Terms, will also find no appliance when My Sports Profile didn't explicitly object individually or as a whole.

1.2 The prerequisite for registration as a member of My Sports Profile is the user's agreement of these terms and conditions. The agreement is declared when the user, within the logon process, confirms by clicking the notice and the agreement to the Terms and Conditions.

1.3 The Terms also apply when part of the contractual relationship between My Sports Profile and users in the use of other, additional benefits or services of My Sports Profile not explicitly referred to in the scope of the Terms, be it that for those benefits or services, different and separate terms and conditions are being agreed upon.

1.4 In the case of changes in the Terms, users will be informed by Email approximately two weeks in advance. After receiving the Email, the user has a two-week deadline to contradict the validity of the new Terms of Use. When the user doesn't contradict in due time, the new Terms are considered accepted.

2. Contract proposal, contract and contract termination

2.1 Basics:

2.1.1 The use of the services of My Sports Profile can only occur if the user is 18 years old (of full age). With the use of My Sports Profile generally, the usage of the benefits provided or its application, the user assures that he is at least 18 years old. The application, entries, or inputs of a user under 18 years of age which is contrary to his legal representative, will be deleted immediately.

2.1.2 Multiple registrations or a passing on of an access authorization (Password, User Name) without the consent of My Sports Profile is prohibited.

2.1.3 Registering as an athlete, coach, agent, scout or club team/General Manager

2.1.3a By registering as an Athlete, you must, in fact, be an athlete who is looking for exposure in order to be able to get in contact with coaches, club teams/GM's, scouts, agents and other athletes.

If you are an Athlete who doesn't want to get recruited by coaches, club teams/GM's, scouts, or agents but just wants to communicate with other members for social reasons you should register as a Fan.

2.1.3b Coaches who are interested in a Professional career must, in fact, be a coach who is looking for exposure in order to be able to get in contact with club teams/GM's, scouts, agents and other coaches or athletes.

2.1.3c By registering as a professional Coach, GM, Scout or Agent, you must be currently employed by a club organization, company and/or self-employeed in the world of sports. In order to protect the users, My Sports Profile has the right to demand verification.

2.1.3d By registering as a College Coach/Scout, you must, in fact, be currently employed as a Head Coach, Assistant Coach or an official scout for an institution that belongs to a NCAA Division I, II, or III, or another "Collegiate Athletic Association".

By registering as a High School Athlete, you must, in fact, be a High School or College student who is intending to enter College or simply transfer to another university as an athlete.

By registering untruthfully as a player, college coach, high school coach or club coach, you can and will be held liable for your actions and the consequences. This is considered unrightfully accessed information. My Sports Profile UG reserves the right to pursue further action to include termination of user and/or members' fraudulent accounts at any time.

2.1.4 My Sports Profile is not responsible for the actions of those users and/or members (Athletes, Coaches, Professional Agents, Scouts and GM's) who do not abide by specific sport-governing-body rules and regulations. My Sports Profile isn't in any way affiliated with any other sports associations worldwide. All users/members are responsible for their own actions. All users and/or members are responsible for knowing rules, regulations, and domestic and common international laws. All Professional Athletes, Professional Coaches, Professional Agents, Scouts and GM's are responsible for knowing and applying specific sport-governing-body rules and regulations. My Sports Profile is not responsible for Athletes, Coaches, Scouts, Agents or GM's who violate specific sport-governing-body rules and regulations. Violators are subject to immediate account termination or deactivation without prior notice. My Sports Profile does not promote any violations of specific sport-governing-body rules or regulations.

2.1.5 My Sports Profile has the right to terminate membership and usage of any users who My Sports Profile feels have violated My Sports Profile's Terms of Use.

2.1.6 My Sports Profile offers the use of My-Sports-Profile.com exclusively for private, non-commercial purposes. A commercial use is prohibited. By registering, the user warrants to use the website only for non-commercial purposes.

2.1.7 Professional Coaches/Gm's/Agents are not allowed to offer High School Athletes professional contracts. Violators are subject to immediate account termination or deactivation without prior notice.

2.1.8 My Sports Profile can't promise professional contracts or athletic scholarships by using this platform. We just offer the possibility to network with people who are like-minded.

2.2 Conclusion

The contract preparation is usually done by registering on the website My-Sports-Profile.com. By completing the registration process, the user gives an offer at the conclusion of the agreement to use the services of My Sports Profile. My Sports Profile accepts this offer only by activating the membership for the services of My Sports Profile. Only through this acceptance is the agreement between the user and My Sports Profile concluded.

2.3 Cancellation:

Withdrawal for consumers (as defined in § 13 BGB)

a) Withdrawal

You can cancel your contract within two weeks without giving reasons in writing (e.g. letter, fax, e-mail) or, if the matter is left beyond the deadline, revoke by returning the item. The time limit begins after receipt of this notification in writing, but not before receipt of the goods by the consignee (in the case of recurring deliveries of similar goods, not before receipt of the first partial delivery) and also does not fulfil our obligations in accordance with Article 246 § 2 in connection with § 1 Paragraphs 1 and 2 EGBGB and our obligations in accordance with § 312e para 1 Satz 1 BGB in conjunction with Article 246 § 3 EGBGB. In order not to exceed the cancellation period, the punctual return of the revocation or object is sufficient.

b) Consequences

In the event of a cancellation, the services and any benefits received (e.g. interest) by either party have to be returned. In the case that you cannot return the received services entirely, but only partially or in a deteriorated state, you need to give us compensation for the value afforded. With the release of objects, this doesn't apply if the deterioration of the object is solely to lead back on your testing - how it would have been possible in a normal shop. By designated use, you are not responsible to pay compensation for lost value when deterioration of the item occurs.

Packages are to be returned at your our risk. You have to pay for the return costs if the delivered goods match your order and if the price of the returned item doesn't exceed an amount of 40 euros or if you, in the case of a higher priced item, didn't yet return service or provided a contractually agreed partial payment, at the time of the revocation.

Otherwise, the return for you is free of charge. Packages that can't be sent by regular mail are to be picked up. Obligation to reimburse payments must be met within 30 days. For you, the deadline begins with the sending of your cancellation or the goods. For us, the deadline begins with their reception.

c) Exception to the Withdrawal

Your right of withdrawal expires prematurely if the contract is fully met by both parties at your request, before you have exercised your Unlawful. Consent of the consumer before the end of the revocation period has begun or when the consumer caused this himself.

3. Contract termination

3.1 The user may terminate this contract at any time with immediate effect. Without any particular indication of reasons, the user can click on the DELETE ACCOUNT button in the ACCOUNT section or also in written form, e.g. by e-mail. This cancellation represents a client-side termination.

3.2 My Sports Profiles may terminate this contract properly in writing (particularly by e-mail notice) without giving a reason, with a deadline of 14 days.

3.3 The right to extraordinary, immediate termination for good cause remains unaffected. An important reason for the termination by My Sports Profiles will, in particular, be a violation of the following provisions or other material contractual agreements made by the user:

the commercial use of services by the users (paragraph 5.4)

the provision of false user data (paragraph 5.1)

archiving illegal or infringing content, or data by the user (e.g. paragraph 5.3)

the unlawful or its intended use of the services of My Sports Profile (Paragraph 5.5)

violation of the terms and conditions (Paragraph 2.1.5)

In the case of an extraordinary cancellation by My Sports Profiles, any claim made by the user for damages is excluded. My Sports Profiles expressly reserves the initiation of civil and/or criminal procedures, especially the recovery of damages and/or reimbursement for a complaint.

3.4 In the case of termination of the contractual relationship, the profile, including any personal data and content will be permanently deleted and removed. User access will be removed. The publicly accessible content made by the user (e.g. forum posts) will continue to be available despite termination of the contractual relationship.

4. My Sports Profile operates a social network in the form of a sports portal on the Internet. The main goal of the sports portal is to give athletes from all over the world (of different performance levels) the chance to get in touch with: GM's/Club Teams (Professional and/or Amateur), coaches, agents, fans and scouts. For example, we want to give athletes who are seeking or already pursuing a professional career in sports the possibility of increasing recognition, so perhaps they will be able to obtain a professional contract. On the other hand, we want fans and athletes that feel sports related offer a platform where they can contact and communicate with other like-minded people. This should contribute to establishing and maintaining friendships in the context of sports.

4.1 The user has the option to register and to publish information about him/herself. The user can specify who is allowed to see his/her profile. Members may look at profiles of other members of the portal and get in contact with them (as far as the user allows this). In addition, users have different search selection options to look for other persons (members/users), within the platform. Users can also use the forum and other features.

4.2 If My Sports Profiles provide services free of charge, these can be discontinued any time or designed to be a charge in the future. The user does not have any claims arising there from. For possible changes of the terms in this connection, point 1.4 is effective.

4.3 My Sports Profile is making efforts to make the website and the services available as much as possible without interruption. 100% availability is technically not achievable. Especially maintenance related, security, or capacity issues and occurrences that are not in My Sports Profiles sphere of control (e.g. disruptions in public communication networks, power failures, etc.) may cause interference or temporary cessation of services at Sports-My-Profile.com . The user has, moreover, in the context of free services, no right at any time to a promised or guaranteed availability, in particular a continuous availability, the formation of connections and the constant maintenance of a certain data throughput or the data implementation.

4.4 My Sports Profiles carries out periodic backups but assumes no liability or guarantees for the created data by the user. My Sports Profiles specifically assumes no liability for the loss of records and data of the user.

4.5 My Sports Profile is entitled to commission a third party with the provision of parts or the whole range of its services. In this case, My Sports Profiles privacy policy is in effect.

5. User Obligations

5.1 Within the registration process, the user is obliged to fill out the necessary personal data accurately and truthfully. The user warrants further that the specified user's personal data that he entered at My-Sports-Profile.com describe himself. The truth is equally applied to photos and videos of himself. A photo should not be older than three years. In the event that a matter (such as sport club team) will be described, etc., the data, which describe the matter, must also be true and complete. For the use of third party data, the sole responsibility lies with the user, who made the data go online for the first time. The user thereby also ensures that the provided information is free of third-party rights.

In the event that the provided registry data in the term of existing contracts changes, the user is obligated to immediately notify My Sports Profiles by changing the data itself in his online profile under the heading MY ACCOUNT. The user agrees that My Sports Profile uses such information, for example your own photo, with other elements catalogued and linked, such as keywords in a photo database, and for interactive entertainment at My-Sports-Profile.com.

5.2 The use of the platform as a member using an alias or antonyms is not allowed.

5.3 For all the information that users provide about themselves or others, the user is responsible. The user is required, to break no laws or rights of others by his behavior and his or her uploaded content (text, images, videos etc.), particularly also to preserve the general personal and intellectual property rights of third parties, as far as pictures or videos in which third parties are shown or referred to in contributions.

5.4 The User is obliged to use My-Sports-Profile.com's services offered, exclusively legal and in accordance with My Sports Profiles regulations.

He assures neither to download criminal data or content as well as to infringe on other third-party rights (e.g. intellectual property rights) or any other applicable law or morality. In particular, the dissemination of information harmful to minors, child pornography, extremist and racist content, virus attacks, chain letters, but also - if not expressly authorized in individual cases by My Sports Profiles - the massive sending of identical e-mails or other messages (e.g. newsletters) without the consent of the recipient (known as spamming) or sending messages with any promotional content is prohibited by the user.

Notwithstanding, the possible criminal responsibilities of the user are abusive, offensive libel and otherwise unacceptable content as prohibited. In the above cases, My Sports Profile can terminate the contractual relationship extraordinary, without notice. In addition, the user is liable under the general civil and criminal law principles. In the case of violation of rights of third parties, point 5.9 is particularly effective.

My Sports Profiles reserves the right to conduct further establish guidelines for the usage to ensure the goal setting of My-Sports-Profile.com. The user recognizes these policies respectively in its current version as binding to him.

5.5 The sharing and disclosure of passwords, codes, serial numbers and links to obviously illegally offered content of any kind are prohibited on the platform.

5.6 It is prohibited to use My Sports Profiles website and its offered services for illegal activities, especially when user accounts are only being opened to misuse information, to read, to save, to edit, change, forward or to abuse otherwise. In the event of an infringement, My Sports Profile explicitly reserves the right to immediate removal of illegal accounts as well as any criminal and/or civil action.

5.7 The user has to respect the law. Emails, news, names, photographs, telephone and fax numbers, addresses, e-mail addresses and/or URLs (web addresses) of the platform's third party users have to be treated as confidential and may therefore only be made available with the express prior consent by the third parties.

5.8 The User is obliged to release My Sports Profiles of any third party claims due to illegal use of the network, in particular due to violations of point 5.3 and 5.5. The user is obliged to immediately inform My Sports Profile about any illegal use of the network of a third party.

5.9 If the User allows third parties to use its access to its login information intentionally or negligently, he is fully liable for all acts of such persons. The user is responsible in particular for any abuse occurring so far and has to carry all the costs of any unauthorized use, especially the costs of legal proceedings by My Sports Profiles.

5.10 Note/duty of disclosure: When a user has the feeling that certain posted content seems to appear questionable or inconsistent with these Terms, then that user should immediately write a message to the e-mail address made available by My Sports Profile (info@my-sports-profile.com), which will, in an individual decision, review the compatibility of the disputed content with the current regulations of the current terms of use.
A legal claim by the user on the removal of content that contradicts his beliefs or views but is otherwise consistent with the terms of this social platform is excluded.

5.11 The compliance with these Terms, in particular the user's obligation to only use My-Sports-Profile.com legally and according to the purpose is of particular importance for My Sports Profiles. Besides the possibility of termination, My Sports Profile can, in the case of a user's gross misconduct against these Terms, sanction also by deletion of content without prior notice, warning, suspension or other restrictions on the use of My Sports Profile.

6. Users authority and Law-granting by the user

6.1 The user has the possibility to upload his own content (text, images, videos, etc.) on My-Sports-Profile.com platform. The user can select in his profile, to whom or to which groups such My-Sports-Profile.com published content should be made available. By the setting of the contents, the user agrees that they are free of third party rights. Point 5.9 applies.

7. Liability

7.1 My Sports Profile is liable for all user damages, whether breach of contract or unauthorized action or otherwise, only pursuant to the following paragraphs. An additional liability out of contract doesn't exist.

7.2 My Sports Profile is liable for intentional or grossly negligently caused damages, claims according to the rules on product liability, because of guarantees or injury of life, limb or health, according to legal provisions.

7.3 For damages, which are based on simple negligence of My Sports Profiles or its agents, My Sports Profile is only liable if an essential contractual obligation (cardinal obligation) has been breached, or when a case of delay or inability exists or by injury of life, limb and health. In the case of breach of a contractual obligation, My Sports Profile is only liable for the typical and foreseeable damages.

7.4 As far as My Sports profiles liability is excluded or limited, this also applies to the liability of My Sports Profiles legal representatives or agents.

7.5 My Sports Profile points the user to the fact that according to the state of the technology, it is not possible to develop software in such a manner that they will work properly in all applications. Therefore, My Sports Profile will not be liable for the accuracy of the user provided services and any damage caused thereby.

7.6 My Sports Profile doesn't take responsibility or liability for the timeliness, accuracy or quality of information provided by My Sports Profile and for the possible misuse of information.

7.7 My Sports Profile is not liable for the unauthorized acquisition of personal user data by third parties (for example, by an unauthorized third party access). My Sports Profile is not obliged to review the contents, data and image files, text contents, or the like of users. It reserves the right to review and amend or delete content - such as apparent existence of incorrect data.

7.8 My Sports Profile is not liable for any direct or indirect links to other websites ("hyperlinks") that are out of the responsibility of My Sports Profile. My Sports Profiles is not responsible for the content of these links and is also not responsible for the content or accuracy of the material on the third parties' websites. If the user decides to access these links of third parties' websites, he or she does so at his or her own risk. My Sports Profiles hereby expressly disassociates itself from the content of linked websites (LG Hamburg, Judgement of 12 May 1998 on the responsibility of the operators for the content of linked pages).

This applies to all, within the My-Sports-Profile.com Internet offer, set links and references, as well as external content, content of forum discussion, blogs, mailing lists, etc. If My Sports Profile is aware that a link is made to a referenced website with illegal content, My Sports Profile will take all reasonable action to remove the referenced link.

7.9 My Sports Profile does not guarantee the reliability of members and users of the forum system. If there are legal concerns about the behavior of any member or user, please immediately inform My Sports Profile (info@my-sports-profile.com).

8. My Sports Profiles Copyright and trademark law

8.1 My Profile Sports is committed, to respect copyrights of others in its Internet service. Therefore, My Sports Profile also claims all copyrights for all own-content of its website. The mere mention only doesn't draw the conclusion that trademarks are not protected by rights of third parties!

The copyright for the by the author himself published content, remains solely by the author of the page. Any reproduction or use of contents of any kind is only permitted with written consent from My Sports Profile.

9. Data usage, data protection and security, protection against electronic attacks

9.1 My-Sports-Profile.com's Privacy Policy is found under the heading Privacy Policy.

9.2 Electronic attacks of any kind on the platform/database/network of My-Sports-Profile.com or on individual users are strictly prohibited and will be prosecuted.

9.3 The user is aware that security risks are inherent in the Internet, in particular malware such as worms, Trojans and other new or advanced malicious software, and not any security measure, service or its infrastructure can protect corresponding attacks from the Internet.

My Sports Profiles assumes no responsibility for the security of a service and the reported personal and other data of its users against the corresponding risks.

10. Final Provisions

10.1 Exclusively the laws of the Federal Republic of Germany apply to the present terms and the relationship between users and operator. This excludes private international law and German law incorporated into the CISG. With consumers, this applies only to the extent that public policy is not the protection afforded by the state in which the consumer has his habitual residence is withdrawn.

10.2 If the User is a merchant within the meaning of the Commercial Code, legal persons under public law or public special assets, the court of jurisdiction at the seat of My Sports Profile applies as agreed. Place of fulfilment is also the seat of My Sports Profile.

10.3 If any provision of this Agreement in whole or in part, will be invalid or unenforceable, then the validity in its total will be unaffected. In place of the invalid or unenforceable provision agreement, an arrangement shall be agreed upon, which will be as close as possible to the economic objectives of the parties as at the time of the conclusion of contract.

Decisive is what the parties would have agreed upon, when they had detected infeasibility or invalidity. The same applies in the case of the existence of a contractual omission.

10.4 Insofar as these Terms, which are available for the user, were translated in a language other than German, it is done solely for his or her comfort.

The German language version of these stays decisive for the contractual relationship to the operator. Should any inconsistencies or conflicts exist between the German language version and a translated version, the German version is decisive.

10.5 After the contract conclusion, these Terms and also the other data of the user relationship are being stored by My Sports Profile. The terms of use are available in the German and in the English language. They are in their current form available under the heading AGB. Old versions are not accessible.
